Gateway Agreement

You must first read and agree to all of the following terms and conditions before you
open a Notyak gateway. Please read the following CAREFULLY. This is a legal
agreement ("Agreement") between Stephens Barnaby, LLC, a Colorado
corporation, doing business as Task Accomplished
and "Notyak" ("Task Accomplished", "Notyak
Gateway Program", "we, " or "us") and
"you." You acknowledge and agree that by participating in the
program you will be bound by all the terms
and conditions in this Agreement.

1. What we will do for you:

1.1 |
We will provide you with a gateway (hyperlink) to put on your
web page. When a person clicks
on this hyperlink he/she will connect to the Notyak Green Web Shop with
your gateway name on the page.
|
|
| |
|
1.2 |
For each product that is purchased directly from the Notyak site through
your gateway (or code identification), you may receive a bonus of 2%.
(Tax, shipping, handling and non products such as gift certificates are not included.)
Notyak may link to other stores (third–party merchants) that will sell
products and services. These merchants are not included in the gateway program.

1.3 |
Your bonus is accrued from September 1st through August 31st and checks
for amounts over $5.00 will be mailed out in November. If your bonus is
less than $5.00 you will be sent an e–mail with your options.

|
1.4 |
You can request removal from the program at any time.
|
|
| |
|
1.5 |
Any changes to your contact and mailing information can be made
by going to "www.taskaccomplished.com/members" where you may
update your contact information. Your are responsible for maintaining
the accuracy of this information if you wish to be paid for any sales made
through your gateway.

2. What we ask from you:
|
|

2.1 |
You must be at least 18 years old. If you are not at least
18 years old, it is required that you have the permission of your parent or guardian
to open a gateway.
|
|
| |
|
2.2 |
We will not allow gateway links from a site or sign up anyone
whose intent is to be threatening, abusive, pornographic,
defamatory, libelous, slanderous, scandalous, injurious to the
reputation of any person or entity or carry out any illegal activities.
|
|
| |
|
2.3 |
You may be required to submit certain official documents prior to being paid by
Notyak and/or Task Accomplished in order to comply with federal and/or
IRS requirements.
|
|
| |
|
2.4 |
You understand that any federal, state or local taxes due on the amounts we send to
you are solely your responsibility.
|
|
| |
|
2.5 |
If an item is purchased through your gateway and that item is
returned or if payment is not received for any reason, the amounts
owed or already paid to you in connection with those purchases will
be deducted from our future payments to you. If there are no future
payments Notyak and/or Task Accomplished may request a refund.

|
2.6 |
If you think there is an error in our bookkeeping, you must notify us within 60 days.
|
|

|
2.7 |
You agree not to send bulk e–mails (spam)
related to your Notyak gateway, or to Notyak and/or Task Accomplished in general.
Any e–mail you send related to the link to Notyak and/or
Task Accomplished or any of its components that refer to the Notyak or Task
Accomplished name must comply with the anti-spam regulations currently
in effect. (We also do not allow postings to non-commercial newsgroups.)

2.8 |
All materials on the Notyak and/or Task Accomplished site are copyright protected.
|

2.9 |
You need to periodically check your geteway to make sure it is working. We are not
responsible if there is a loss of data relating to your bonus if it is caused
by a problem with your link. If you have any concerns about your link,
you can contact our technical staff at staff@notyak.com

2.10 |
If your participation in the Notyak gateway program ends due to either
your request or ours, you must cease using all materials and content provided by us for
any purpose such as marketing and green web shop access, including but not limited
to text, graphics, images, links, software and/or icons.
|

|
2.11 |
If this agreement between you and Notyak and/or Task Accomplished is
cancelled for any reason, you will receive your bonus for any transactions
prior to cancellation but not for any purchases made after the agreement
was cancelled.
|

|
2.12 |
While we will make every effort to keep our site operational at all times, you
understand that if your link, the Notyak and/or Task Accomplished web site
is not working due to periodic maintenance or other reasons,Stephens
Barnaby LLC, Notyak and/or Task Accomplished are not responsible for
any damages or lost sales during the inoperable period.

2.13 |
Notyak and/or Task Accomplished offers no guarantees of how big yopur bonus
will be through use of our site. The amount will depend
on how much people spend on products through your link to our website.

2.14 |
Notyak and/or Task Accomplished have the right to alter or modify
the gateway program including the method and terms of the bonus payment to you.
Upon any change in benefits under the program, you have the right to
terminate your participation in the program.

|
2.15 |
Notyak and/or Task Accomplished have the right to suspend or terminate
anyones participation in our program at any time.
|
